1. Agreement to Terms
By accessing or using the ROBA platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
RobaLabs is an open robotics development platform that provides simulation tools, templates, a creator hub, marketplace, challenge system, and related services (collectively, the "Platform").
Definitions. Capitalized terms have the meanings given in these Terms. "Platform" means the ROBA website, applications, APIs, and related services. "Service" means access to and use of the Platform. "Marketplace" means the venue for buying, selling, or licensing assets on the Platform. "User Content" means any content you submit or make available through the Service.
2. Description of Service
RobaLabs provides:
Creator Hub: A platform to build, share, version, and discover robotics models, algorithms, worlds, datasets, and evaluation packs
Simulation Environment: Cloud-first browser-native access to robotics simulation and testing
Template Library: Ready-to-run robotics templates and workflows
Challenge System: Structured competitions with benchmarked outcomes and rewards
Marketplace: A venue to license and monetize robotics assets
Training & Talent Pool: Educational resources and professional networking
Roba Studio (roadmap/preview): No-code robot brain builder currently in development
Additional Services: As described in our documentation
Beta/Preview Features: Certain features (including Roba Studio) may be offered as beta/preview. They are provided AS IS, may be suspended or changed without notice, and may be subject to usage limits.
3. Eligibility
You must be at least 13 years old to use the Service. If you are located in a country where the age of digital consent is higher than 13 (e.g., 13–16 in the EEA/UK depending on local law), you may only use the Service if you have reached that age or we receive verifiable consent from your parents or legal guardian. By using the Service, you represent that you meet these requirements.
4. Account Registration and Security
4.1 Account Creation
To access certain features, you must create an account. You agree to:
Provide accurate, current, and complete information
Maintain and update your information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
4.2 Account Responsibility
You are responsible for all activities that occur under your account. RobaLabs is not liable for any loss or damage arising from your failure to maintain account security.
5. User Content and Intellectual Property
5.1 Your Content
"User Content" means any content you submit, upload, or make available through the Service, including algorithms, models, datasets, simulation worlds, documentation, code, videos, and text.
You retain all ownership of your User Content. You grant RobaLabs a worldwide, non-exclusive, royalty-free license solely to host, store, reproduce, modify (for technical purposes such as formatting, transcoding, or compression), display, perform, and distribute your User Content as necessary to operate, secure, improve, and promote the Service.
We will not commercialize your private User Content outside the Service without your separate permission. If you make assets public or list them in the Marketplace, we may showcase them within the Service and our official channels; you may opt out of marketing uses at any time via your account settings.
5.2 Marketplace Listings
When you list User Content in the ROBA Marketplace:
You grant purchasers the rights specified in your chosen license terms
RobaLabs may collect a marketplace fee (currently 5-15% of transaction value)
You represent that you have all necessary rights to license your content
You agree to our standard licensing framework or may specify custom terms
5.3 Challenge Submissions
By submitting to ROBA Challenges:
Your submission automatically joins the Creator Hub marketplace
You grant RobaLabs rights to evaluate, benchmark, and showcase your work
You retain ownership and may choose licensing terms
You agree to include required documentation (code, demonstration video, technical report, evaluation results)
5.4 Representations and Warranties
You represent and warrant that:
You own or have necessary rights to your User Content
Your User Content does not infringe third-party intellectual property rights
Your User Content complies with all applicable laws and these Terms
5.5 Feedback
If you provide ideas, suggestions, or feedback about the Service, you grant RobaLabs a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction, with no obligation to credit or compensate you.
6. Prohibited Conduct
You agree not to:
Violate any applicable laws or regulations
Infringe intellectual property rights of others
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service
Engage in fraudulent activity, including challenge manipulation or spam submissions
Harass, abuse, or harm other users
Misrepresent your identity or affiliation
Use automated systems to scrape or collect data without permission
Circumvent technical restrictions or security measures
Use the Service for any illegal or unauthorized purpose
Scrape, mine, or reverse engineer assets to extract datasets, weights, or training data except as expressly permitted by the applicable asset license
Make excessive or abusive API requests (which may be rate-limited or blocked)
7. Marketplace Terms
7.1 Seller Obligations
As a marketplace seller, you are responsible for:
Setting accurate prices and descriptions
Complying with all applicable tax obligations (including VAT)
Ensuring lawful licensing of your content
Responding to buyer inquiries and issues
RobaLabs may withhold, reverse, or offset payouts for refunds, chargebacks, fraud, or policy violations.
7.2 Payouts
Marketplace earnings are paid out monthly after fees
Minimum payout thresholds may apply
Payment methods and timing are specified in your seller dashboard
7.3 Fee Changes
We may change marketplace fees with 30 days' advance notice by email and in-product notification.
7.4 Anti-Circumvention
You agree not to complete off-platform transactions to avoid fees for buyers discovered via ROBA.
7.5 Takedown and Delisting
RobaLabs reserves the right to delist or remove marketplace items that violate these Terms, infringe intellectual property, or present safety concerns.
7.6 KYC/AML Requirements
For substantial rewards or payouts (including challenge prizes and marketplace earnings above specified thresholds), identity verification (KYC) may be required to comply with anti-money laundering regulations.
7.7 Subscription Plans & Auto-Renewal
Subscription Tiers
ROBA offers multiple subscription tiers:
Free: Educational use with limited features (no SLA)
Pro: Team features and expanded capabilities (paid, no SLA)
Enterprise: Custom SLAs, governance, and support (paid, SLA by contract)
Pricing and Billing
Pricing is displayed at checkout and on our pricing page
All paid subscriptions automatically renew at the end of each billing period (monthly or annual) until you cancel
Renewal cadence: Matches your initial billing period unless you change it
You will be charged using your payment method on file
Cancellation
You may cancel your subscription at any time through your Account Settings > Billing section
Cancellations take effect at the end of your current billing period
You retain access to paid features until the end of the paid period
No refunds for partial billing periods, except where required by law
Free Trials
If you start a free trial, you will be notified of the trial end date
At trial expiration, your subscription will automatically convert to a paid plan unless you cancel before the trial ends
You will be charged at the then-current rate
Price Changes
We may change subscription pricing with at least 30 days' advance notice by email and in-product notification
Price increases apply at your next renewal after the notice period
If you do not accept a price increase, you may cancel before your next renewal date
Proration and Upgrades
Upgrades from a lower-tier plan are prorated; you will be charged the difference for the remainder of your billing period
Downgrades take effect at your next renewal; no prorated refunds for downgrades
7.8 Marketplace Transactions
Sellers set prices for their listings
RobaLabs collects a marketplace fee on paid transactions
Payments are processed through third-party payment processors
Refund policies are determined by individual sellers, subject to our guidelines and applicable consumer protection laws
Contracts & Taxes: Unless we state otherwise, RobaLabs acts as a platform and payment facilitator only; the contract for a paid asset is between buyer and seller, and RobaLabs is not a party to those contracts. Sellers are responsible for prices, fulfillment, and applicable taxes (including VAT) on their sales. RobaLabs may collect or remit VAT or other indirect taxes where required by law, including where we act as Merchant-of-Record for specific products (as stated at checkout). Refunds are subject to applicable consumer laws and seller policies consistent with our guidelines; RobaLabs may withhold/reverse payouts in case of refunds, chargebacks, fraud, or policy breaches.
EEA/UK Consumer Rights: If you are a consumer in the EEA/UK purchasing digital content, you may have a 14-day right to withdraw from your purchase. If you choose immediate access, you expressly request early performance and acknowledge that your right to withdraw ends once download/access begins, to the extent permitted by law.
7.9 Tokens and Rewards
From launch, rewards are distributed via RoboToken (ticker: $ROBA) airdrops.
Rewards: Challenge completions and other qualifying activities may receive RoboToken airdrops.
Utility: RoboToken may be used for licensing and royalty payments, challenge rewards, federated learning incentives, and other platform utilities we introduce over time.
No credits: We do not offer “credits” or a two‑phase credits→token model.
Non‑custodial: We do not take custody of user wallets or private keys unless expressly stated for a specific product governed by separate terms. You are responsible for safeguarding wallet credentials.
Finality: Gas fees are non‑refundable. On‑chain transactions are generally irreversible; we cannot unwind them. In the event of forks, protocol changes, or airdrops, we may support, map, or ignore such events at our discretion.
Taxes: Token rewards or airdrops may be taxable. You are responsible for reporting and paying any taxes. Where required, we may issue tax forms and/or withhold amounts.
Eligibility and compliance: Airdrops and distributions may exclude certain jurisdictions or require KYC/eligibility checks. We may reject, limit, or claw back allocations to comply with law or policy, including anti‑sybil and abuse protections.
Travel Rule / Transfer of Funds: Where applicable, we may collect and transmit originator/beneficiary information for token transfers to comply with AML/CFT requirements, and may decline or block transactions lacking required information.
Regulatory notes
US: We may exclude, geoblock, or require additional steps for U.S. persons to comply with applicable securities and commodities laws.
EEA (MiCA): Any token‑related services to EEA users will comply with MiCA/CASP obligations or be limited until authorized. Risk factors and complaints handling will be provided in a MiCA white paper where applicable.
UK (FCA promotions): Token communications to UK users will comply with FCA financial promotions rules, required risk warnings, cooling‑off, and approval where applicable.
No investment offering: RoboToken is intended solely for network utility and access/settlement within the Platform. It is not designed for speculation, and you should not form an expectation of profits from others’ efforts.
8. Challenge System
8.1 Entry Requirements
ROBA Basics: Open to all participants
ROBA Proto: Requires refundable $ROBA token deposit
Enterprise & Research Challenges: May require deposits and/or application approval
Studio Challenges: Requires refundable deposit
8.2 Evaluation and Rewards
Submissions are evaluated through automated benchmarks and/or community review
Rewards are distributed based on performance ranking and challenge tier
RobaLabs reserves the right to disqualify submissions that violate rules or these Terms
Disputes may be appealed through our dispute resolution process
8.3 Reputation Scores
Challenge performance contributes to your ROBA Reputation Score, which may affect:
Access to higher-tier challenges
Marketplace asset discoverability
Enterprise opportunities
Governance participation rights
9. Intellectual Property Rights
9.1 RobaLabs’ IP
The Service and its original content (excluding User Content), features, and functionality are owned by RobaLabs and are protected by copyright, trademark, patent, and other intellectual property laws.
9.2 Trademarks
"ROBA," the ROBA logo, and other marks are trademarks of RobaLabs. You may not use these without prior written permission.
9.3 Open Source
Certain components of the Service may be subject to open source licenses. Such licenses are available in our documentation. Where open source license terms conflict with these Terms for that component, the open source license controls.
11. Export Controls and Sanctions
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. or other applicable embargoes or sanctions, and you are not on any government restricted party list (such as the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List).
You will not use the Service for any purposes prohibited by applicable export control and sanctions laws, including but not limited to development of weapons of mass destruction or military applications in restricted jurisdictions.
You are responsible for obtaining any required export licenses for downstream use or deployment of robotics systems, software, or technology developed using the Service.
Sanctions compliance: We may block access, freeze features, or reject on-chain interactions involving sanctioned jurisdictions, persons, or wallets, and we may screen wallets using sanctions/AML tools.
12. Verifiable Licensing
ROBA may implement optional machine-readable licenses with cryptographic attestations for marketplace assets. This verifiable licensing system is:
Optional for creators
Machine-readable for automated royalty distribution
Compatible with standard license terms
Creators remain free to choose standard licenses. By using verifiable licensing features, you agree to:
Accurate representation of licensing terms
Automated royalty distribution mechanisms
Audit trails and provenance tracking
Compliance with technical standards we establish
13. Third-Party Services
The Service may integrate with third-party services (payment processors, cloud providers, etc.). Your use of third-party services is subject to their respective terms and policies. RobaLabs is not responsible for third-party services.
14. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
We use simple Google Analytics for usage insights. In the EEA/UK, it is off until you consent in Cookie Settings. See our Privacy Policy for details.
15. Disclaimers
15.1 "AS IS" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15.2 No Warranty for User Content
RobaLabs DOES NOT WARRANT THAT USER CONTENT IS ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE. YOU USE USER CONTENT AT YOUR OWN RISK.
15.3 Simulation and Real-World Deployment
RobaLabs PROVIDES SIMULATION TOOLS BUT DOES NOT GUARANTEE SIM-TO-REAL TRANSFER PERFORMANCE. YOU ARE SOLELY RESPONSIBLE FOR:
Testing, validation, and safety when deploying robotics solutions in real-world environments
Compliance with applicable safety standards (including ISO, OSHA, CE marking, or other relevant standards)
Obtaining necessary permits, certifications, and insurance
Ensuring safe operation and risk mitigation
15.4 Statutory Rights
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful (including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence) and does not affect your mandatory statutory rights (including as a consumer in the EEA/UK).
16. Limitation of Liability
16.1 General Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBA SHALL NOT BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR USE
DAMAGES RESULTING FROM USER CONTENT OR THIRD-PARTY CONDUCT
DAMAGES RELATED TO REAL-WORLD DEPLOYMENT OF ROBOTICS SOLUTIONS DEVELOPED USING THE SERVICE
RobaLabs’ TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO RobaLabs IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
17. Indemnification
You agree to indemnify and hold harmless ROBA, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any rights of another party
Your real-world deployment of robotics systems
18. Termination
18.1 Termination by You
You may terminate your account at any time by following the account closure process in your settings.
18.2 Termination by ROBA
ROBA may suspend or terminate your account if:
You violate these Terms
You engage in fraudulent or illegal activity
Required by law
We discontinue the Service (with reasonable notice)
We will provide reasonable advance notice when practicable.
18.3 Effect of Termination and Data Export
Upon termination:
Your right to use the Service ceases immediately
You will have 30 days to export your data and assets using our export tools
After this period, your User Content may be deleted (subject to backup retention for up to 90 days)
Licenses you purchased from third-party sellers remain subject to their terms; we may continue hosting copies as reasonably needed to enable your lawful use or for compliance purposes
Provisions that by their nature should survive (including payment obligations, indemnification, and dispute resolution) will survive termination
The following provisions survive termination: §§5 (IP & Feedback), 6 (Prohibited Conduct), 7 (Marketplace Terms), 9–11 (IP/DMCA/Export), 14 (Privacy incorporation), 15–17 (Disclaimers/Limitation/Indemnity), 19–21 (Modifications/General), and 20.4 (Arbitration).
19. Modifications to Terms
ROBA reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice by:
Posting the updated Terms with a new "Last Updated" date
Sending email notification to registered users
Displaying a prominent notice on the Service
If you do not agree to material changes, you may cancel your subscription and close your account before the effective date. Your continued use after the effective date constitutes acceptance of the modified Terms.
For non-material changes, your continued use constitutes acceptance.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms are governed by the laws of Ras Al-Khaimah, United Arab Emirates, without regard to conflict of law principles.
20.2 Jurisdiction and Venue
For users domiciled outside the EEA/UK: You agree to submit to the exclusive jurisdiction of the courts located in Ras Al-Khaimah, United Arab Emirates.
For users domiciled in the EEA/UK: Nothing in these Terms affects your right to bring proceedings in the courts of your country of residence, and mandatory consumer protection laws in your jurisdiction apply.
20.3 Dispute Resolution Process
Before initiating formal proceedings, you agree to attempt resolution through:

20.4 Arbitration
For users in the United States, disputes arising from these Terms or the Service may be resolved through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures, except:
Small claims court: You may bring claims in small claims court if they qualify and remain in such court
Opt-out right: You may opt out of this arbitration provision within 30 days of account creation by sending written notice to arbitration-optout@roba.com with your name, email, and statement that you opt out
CLASS ACTION WAIVER: ARBITRATION PROCEEDS ON AN INDIVIDUAL BASIS ONLY. YOU AND ROBA AGREE THAT CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED. YOU MAY ONLY RESOLVE DISPUTES WITH ROBA ON AN INDIVIDUAL BASIS AND MAY NOT BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Consumer protections: Nothing herein waives rights that cannot be waived under applicable consumer protection law
Location: Arbitration hearings will take place in your county of residence or remotely by mutual agreement
Costs: ROBA will pay all filing, administration, and arbitrator fees for claims under $10,000, unless the arbitrator finds the claim frivolous
21. General Provisions
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and ROBA.
21.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be reformed to the maximum extent possible.
21.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of that term or any other term.
21.4 Assignment
You may not assign these Terms without our prior written consent. ROBA may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
21.5 Force Majeure
ROBA is not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet/telecommunications failures.
21.6 Language and Accessibility
These Terms are drafted in English. Any translations are provided for convenience only, and the English version governs in case of conflict. Upon request, we can provide these Terms in accessible formats (large print, screen-reader-optimized, etc.)—contact legal@robalabs.com
